Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, APIs, demos, documentation, and related services operated by GuGuData, LLC ("GuGuData," "we," "us," or "our"), including gugudata.io and related domains.

By creating an account, purchasing a plan, requesting a trial key, or otherwise using our services, you agree to these Terms. If you do not agree, do not use the services.

1. SERVICES

GuGuData provides production-ready APIs, developer tools, demos, documentation, and supporting account features. Features, limits, and availability may change as we improve the platform. We may offer free, trial, and paid access tiers with different usage limits.

2. ACCOUNTS AND API KEYS

You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized use. You must provide accurate registration information and keep it up to date.

3. ACCEPTABLE USE

You agree not to:

• Use the services for unlawful, harmful, deceptive, or abusive purposes
• Attempt to bypass rate limits, authentication, billing, or access controls
• Probe, scan, or disrupt GuGuData infrastructure except through documented interfaces
• Resell, sublicense, or publicly redistribute raw API access in a way that circumvents GuGuData plans without written approval
• Upload or process content that you do not have rights to use, or that contains malware or prohibited material

We may suspend or terminate access for violations, abuse, unpaid balances, or security risk.

4. CUSTOMER CONTENT

You retain ownership of content you submit to the services ("Customer Content"). You grant GuGuData a limited license to process Customer Content solely to provide and improve the requested service operations. You represent that you have the rights necessary to submit Customer Content and that doing so does not violate law or third-party rights.

5. PLANS, BILLING, AND TRIALS

Paid plans, pricing, included usage, and renewal terms are shown at purchase time on the product or order pages. Unless stated otherwise, paid subscriptions renew for the selected term until canceled. Trial keys and free allowances are provided at our discretion and may be limited, modified, or revoked. Fees are generally non-refundable except where required by law or expressly stated at checkout.

6. INTELLECTUAL PROPERTY

GuGuData and its licensors own the services, branding, software, documentation, and related intellectual property. These Terms do not transfer ownership of GuGuData IP. You may use our documentation and code examples to integrate with GuGuData APIs under these Terms.

7. THIRD-PARTY SERVICES

The services may rely on or link to third-party platforms such as payment processors, hosting providers, or developer tooling. Your use of those third-party services may be subject to their own terms. GuGuData is not responsible for third-party services we do not control.

8. DISCLAIMERS

The services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, GuGuData disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that outputs will meet every use case requirement.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, GuGuData and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. Our aggregate liability arising out of or related to the services will not exceed the amounts you paid to GuGuData for the affected service during the twelve (12) months before the claim.

10. INDEMNIFICATION

You will defend and indemnify GuGuData against claims, damages, and expenses arising from your Customer Content, your use of the services, or your violation of these Terms or applicable law.

11. TERMINATION

You may stop using the services at any time. We may suspend or terminate access if you breach these Terms, create risk to the platform or other customers, or fail to pay amounts owed. Upon termination, your right to use the services ends, and provisions that by nature should survive will survive.

12. PRIVACY

Our handling of personal information is described in the Privacy Policy.

13. CHANGES

We may update these Terms from time to time. The updated Terms will be posted on this page with a revised date. Continued use of the services after changes become effective constitutes acceptance of the updated Terms.

14. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory local consumer law applies.
